Agreement to Terms

Welcome to KosakPay. These Terms of Service ("Terms") govern your access to and use of our chit fund management platform, website, mobile applications, and related services (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our Services.

Definitions

• "You," "User," "Customer" refers to the individual or organization accessing or using our Services
• "We," "Us," "Our," "KosakPay" refers to KosakPay Technologies and its affiliates
• "Platform" refers to the KosakPay chit fund management software and all related services
• "Content" refers to all data, information, text, graphics, or other materials uploaded, downloaded, or appearing on the Services

Account Registration and Security

Account Creation

• You must provide accurate, current, and complete information during registration
• You are responsible for maintaining the confidentiality of your account credentials
• You must be at least 18 years old to create an account
• One person or entity may not maintain more than one account without our permission

Account Security

• You are responsible for all activities that occur under your account
• Notify us immediately of any unauthorized use of your account
• We recommend enabling two-factor authentication for enhanced security
• We are not liable for any loss or damage arising from your failure to protect your credentials

Acceptable Use

Permitted Use

You may use our Services only for lawful purposes and in accordance with these Terms. You agree to use the Services to:

• Manage chit funds and related financial operations
• Track payments and member information
• Conduct bidding sessions and generate reports
• Communicate with members about chit fund activities

Prohibited Activities

You agree NOT to:

• Violate any applicable laws or regulations
• Infringe upon the rights of others
• Transmit any harmful code, viruses, or malware
• Attempt to gain unauthorized access to our systems
• Interfere with or disrupt the Services
• Use the Services for fraudulent purposes
• Resell or redistribute the Services without authorization
• Reverse engineer or attempt to extract source code
• Remove or modify any proprietary notices

Subscription and Payment

Subscription Plans

• We offer various subscription plans with different features and pricing
• Subscription fees are billed in advance on a monthly or annual basis
• All fees are exclusive of applicable taxes unless otherwise stated

Payment Terms

• You authorize us to charge your payment method for all fees
• Subscriptions automatically renew unless cancelled before the renewal date
• We reserve the right to change our fees with 30 days' notice
• Refunds are provided according to our refund policy

Cancellation

• You may cancel your subscription at any time from your account settings
• Cancellation takes effect at the end of the current billing period
• No refunds are provided for partial subscription periods
• You retain access to your data for 30 days after cancellation

Data and Privacy

Your privacy is important to us. Our collection and use of personal information is governed by our Privacy Policy. By using our Services, you consent to our privacy practices.

Your Data

• You retain ownership of all data you submit to the Services
• You grant us a license to use your data solely to provide the Services
• You are responsible for the accuracy and legality of your data
• We implement security measures to protect your data

Intellectual Property

Our Intellectual Property

The Services, including all content, features, and functionality, are owned by KosakPay and are protected by copyright, trademark, and other intellectual property laws. You may not:

• Copy, modify, or create derivative works of our Services
• Use our trademarks, logos, or branding without permission
• Claim ownership of any KosakPay intellectual property

License to Use

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable license to access and use the Services for your internal business purposes.

Service Availability and Modifications

• We strive for 99.9% uptime but do not guarantee uninterrupted access
• We may modify, suspend, or discontinue the Services at any time
• We will provide notice of material changes when reasonably possible
• Scheduled maintenance will be announced in advance

Limitation of Liability

To the maximum extent permitted by law:

• The Services are provided "as is" without warranties of any kind
• We are not liable for any indirect, incidental, or consequential damages
• Our total liability shall not exceed the fees you paid in the past 12 months
• We are not responsible for third-party services or content

Indemnification

You agree to indemnify and hold KosakPay harmless from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from your use of the Services, violation of these Terms, or infringement of any rights of another party.

Termination

We reserve the right to suspend or terminate your access to the Services:

• If you violate these Terms
• If your account remains inactive for an extended period
• For any reason with 30 days' notice
• Immediately for serious violations or illegal activities

Upon termination, your right to use the Services ceases immediately. Provisions that should survive termination will remain in effect.

Dispute Resolution

Any disputes arising from these Terms or the Services shall be resolved through:

1. Good faith negotiation between the parties
2. Mediation if negotiation fails
3. Arbitration under the rules of the Indian Arbitration and Conciliation Act, 1996

These Terms shall be governed by the laws of India. The courts of Bangalore, Karnataka shall have exclusive jurisdiction.

Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes via email or through the Services. Your continued use of the Services after changes become effective constitutes acceptance of the revised Terms.

Miscellaneous

• Entire Agreement: These Terms constitute the entire agreement between you and KosakPay
• Severability: If any provision is found unenforceable, the remaining provisions remain in effect
• Waiver: Failure to enforce any right does not constitute a waiver
• Assignment: You may not assign these Terms without our consent
• Force Majeure: We are not liable for delays due to circumstances beyond our control
